These Terms of Service explain the rules, responsibilities, and conditions that apply when you access the GraphicDigits website, request a quote, communicate with our team, or use our design, branding, website, marketing, or creative support services. By using our website or engaging with our services, you agree to these Terms.
1. Acceptance of Terms
By using the GraphicDigits website, requesting information, approving a quote, making a payment, or engaging our services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree with any part of these Terms, please do not use our website or services.
2. Services
GraphicDigits provides professional creative and digital design services, which may include but are not limited to:
- Logo and brand identity design
- Graphic design and marketing collateral
- Brochure, flyer, menu, and presentation design
- Website design and web/app visuals
- Social media graphics and digital campaign assets
- Company profiles, business documents, and brand materials
- Ongoing creative support and white-label design services
The exact scope, deliverables, timeline, revisions, and pricing for each project will be defined in the approved quote, proposal, invoice, or written agreement.
3. Client Responsibilities
To help us deliver projects successfully, clients agree to:
- Provide accurate project details, content, references, and brand materials
- Confirm that all supplied logos, images, text, and assets are owned or properly licensed
- Respond to questions, feedback requests, and approvals in a timely manner
- Review all design drafts and final files carefully before approval
- Provide clear and consolidated revision feedback
- Make payments according to the agreed payment schedule
Note: Delays in feedback, missing content, unclear instructions, or late payments may affect project timelines and delivery schedules.
4. Quotes, Payments & Billing
Pricing is based on the agreed project scope, complexity, deliverables, timeline, and service requirements. Work may begin after the required deposit, advance payment, or written approval has been received.
Unless otherwise agreed:
- Payments must be made according to the approved quote or invoice
- Late payments may pause active work or delay final delivery
- Additional work outside the agreed scope may require a separate quote
- Final editable/source files may be released after full payment is received
- Refunds are reviewed on a case-by-case basis depending on the work completed
5. Revisions & Scope
Revision rounds are limited to the scope agreed before the project begins. Revisions are intended to refine the approved direction, not to create an entirely new concept or change the project scope.
Additional charges may apply for:
- New design directions after approval
- Major content changes
- Additional pages, formats, or file versions
- Urgent turnaround requests
- Revisions requested after final approval
- Work not included in the original quote
6. Project Timelines & Delivery
Estimated timelines are provided based on project scope and client cooperation. GraphicDigits makes reasonable efforts to deliver work within agreed timelines, but delivery may be affected by delayed feedback, missing assets, changes in scope, technical issues, or third-party platform requirements.
Final files will be delivered through email, cloud storage, project links, or another agreed delivery method.
7. Intellectual Property Rights
Ownership of final approved design files transfers to the client after full payment has been received, unless otherwise stated in writing.
GraphicDigits may retain the right to:
- Display completed work in its portfolio, website, social media, or marketing materials
- Reuse general design knowledge, processes, concepts, and non-client-specific ideas
- Retain internal working files, drafts, and unused concepts unless specifically agreed otherwise
Drafts, unused concepts, rejected designs, and preliminary ideas remain the property of GraphicDigits unless purchased or transferred through a written agreement.
8. Client-Provided Materials
Clients are responsible for ensuring that all materials they provide, including logos, images, fonts, written content, brand assets, product information, and third-party files, are legally owned or properly licensed.
GraphicDigits is not responsible for copyright, trademark, licensing, or legal issues related to materials supplied by the client.
9. Third-Party Tools, Platforms & Services
Some projects may involve third-party tools, platforms, plugins, stock assets, hosting providers, email platforms, payment systems, or software. GraphicDigits is not responsible for changes, outages, limitations, pricing, policies, or performance issues caused by third-party services.
Any third-party costs, licenses, subscriptions, hosting fees, stock assets, fonts, or platform charges are the client's responsibility unless clearly included in the agreed project scope.
10. Confidentiality
GraphicDigits respects client confidentiality and will not intentionally share private project information, business details, or unpublished materials without permission, except when required to complete the project, comply with legal obligations, or protect our business interests.
Clients also agree not to misuse, publish, copy, or share internal drafts, proposals, pricing, or private communication from GraphicDigits without permission.
11. Limitation of Liability
GraphicDigits is not liable for indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, lost profits, missed opportunities, business interruption, data loss, or issues caused by third-party platforms, tools, or services.
Our total liability for any project shall not exceed the amount paid by the client for the specific service related to the claim.
12. Cancellations & Termination
Either party may request to cancel or terminate a project with written notice. If a project is cancelled after work has started, the client may be responsible for payment for completed work, time spent, project planning, drafts, research, or deliverables prepared before cancellation.
Important: Completed work up to the termination date must be paid in full before any usable files are released.
13. Use of Website
You agree not to misuse the GraphicDigits website, attempt unauthorized access, copy website content without permission, disrupt website functionality, or use our website for unlawful, harmful, or misleading purposes.
We may update, remove, or modify website content at any time without prior notice.
14. Governing Terms
These Terms are intended to define the business relationship between GraphicDigits and its clients. Any project-specific quote, invoice, proposal, or written agreement may include additional terms that apply to that specific project.
If any part of these Terms is found to be invalid or unenforceable, the remaining sections will continue to apply.
15. Changes to Terms
GraphicDigits may update these Terms from time to time to reflect changes in our services, business practices, website, or legal requirements. Updates will be posted on this page with a revised date. Continued use of our website or services after changes are posted means you accept the updated Terms.
